The British media landscape is set for a significant transformation as Sky owned by Comcast has agreed to acquire ITV‘s Media and Entertainment business for up to £1.6 billion ($2.14 billion). This landmark deal, expected to close in the second half of 2027, will separate ITV Studios into a standalone global content business and return approximately £950 million ($1.27 billion) to shareholders.

The acquisition includes a long-term content supply agreement covering popular shows like Coronation StreetEmmerdaleLove Island and I’m a Celebrity…Get Me Out of Here!. This deal is poised to create a formidable British media entity capable of competing with global streaming giants.

The Financial Details and Strategic Implications

The total consideration for the acquisition comprises £1.2 billion ($1.61 billion) in cash at completion, the contribution of Sky’s Love Productions—valued at £200 million ($268 million)—and up to £200 million ($268 million) in contingent payments tied to advertising revenue performance in fiscal 2027. Post-completion, ITV Studios is expected to operate with adjusted EBITA margins of 13 to 15% and an average profit-to-cash conversion of roughly 80%.

Net cash proceeds from the sale are projected at approximately £1.05 billion ($1.4 billion) after transaction and separation costs. ITV plans to use the proceeds first to reduce leverage and then return funds to shareholders. The transaction requires regulatory approval and is not subject to shareholder approval under U.K. Listing Rules.

The Future of British Broadcasting

Andrew Cosslett chair of ITV plc emphasized the importance of securing ITV’s role as a public service broadcaster. He stated, “For over seven decades, ITV has played an important and cherished role in the public life of the nation. At a time of rapid change in the industry, it is right that we now secure ITV’s crucial role as a public service broadcaster.”

Carolyn McCall CEO of ITV plc expressed confidence that Sky will be a responsible custodian of ITV M&E, building on its heritage while investing in its future. She highlighted ITV’s move into streaming through ITVX and its growth as a major global content producer.

Dana Strong group CEO of Sky described the deal as a “defining moment for British media.” She noted that the acquisition reflects respect for ITV’s push into streaming and unites the different ways British audiences watch television under one roof.

What This Means for Viewers

For viewers, the takeover won’t mean their favorite ITV shows will suddenly move behind a paywall. ITV is required by law to provide a free-to-air service until at least 2034 due to its public service broadcasting license. However, in the long term, there could be changes as the new entity seeks to streamline operations and reduce costs.

Caroline Frost TV and podcast editor at Radio Times suggests that while big shows like Coronation Street and Love Island won’t look any different in the short term, content that might debut on free-to-air ITV could eventually end up on a subscription platform.

Producers like Patrick Spence who won a BAFTA for Mr Bates vs The Post Office see the deal as exciting. He believes it signifies a continued belief in traditional broadcasting and the potential for growth in the industry.

The acquisition is expected to attract scrutiny from the UK’s Competition and Markets Authority and the telecoms regulator, Ofcom. Analysts predict that the deal could result in job losses at ITV to remove duplication.
